Wersant Software Services Agreement

This Subscription Agreement governs access to Wersant software platforms, applications, technology services, and related solutions.

1. Agreement Purpose

Wersant provides software-as-a-service ("SaaS") technology solutions that allow authorized users to access digital tools, automation features, workflow systems, educational resources, and related technology services.

2. License Grant

Subject to payment and compliance with this Agreement, Wersant grants Customer a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term.

The license does not transfer ownership of Wersant technology.

3. SaaS Services

Services may include:

  • Software access
  • AI-assisted workflows
  • Document automation
  • Data organization tools
  • Training resources
  • Platform integrations

4. Subscription Fees

Customer agrees to pay applicable subscription fees.

Examples may include:

Fees are non-refundable except as required by applicable law or stated in the applicable order agreement.

  • Monthly SaaS subscriptions
  • Enterprise licensing fees
  • Professional memberships
  • Customized technology licensing

5. Private Label and White Label Licensing

White Label License

A white-label solution allows an authorized partner to offer Wersant technology under their own branding while the underlying technology remains owned and operated by Wersant.

Private Label License

A private-label solution allows a partner to customize certain aspects of the platform, branding, workflows, or user experience while receiving authorized access under a licensing arrangement.

All private-label and white-label rights require a separate written agreement.

6. Intellectual Property Ownership

Wersant retains all ownership rights in:

  • Software
  • AI systems
  • Databases
  • Technology architecture
  • Designs
  • Trademarks
  • Documentation
  • Customer receives only the rights expressly granted.

7. Restrictions

Customer may not:

  • Copy or reproduce the software
  • Reverse engineer technology
  • Resell access without authorization
  • Remove intellectual property notices
  • Use the platform unlawfully

8. Data Ownership

Customers retain ownership of their submitted data.

Wersant may process data only as necessary to provide, maintain, secure, and improve Services according to applicable agreements and privacy requirements.

9. Service Availability

Wersant will make reasonable efforts to maintain availability but does not guarantee uninterrupted service.

10. Termination

Either party may terminate the Agreement according to the applicable subscription terms.

Upon termination, access rights end unless otherwise agreed.

11. Disclaimer of Results

Wersant provides technology tools.

Wersant does not guarantee legal outcomes, filing approvals, business results, revenue, or specific results from use of the platform.

12. Limitation of Liability

To the maximum extent permitted by law, Wersant shall not be liable for indirect, incidental, special, or consequential damages.

13. Governing Law

This Agreement shall be governed by applicable laws designated in the final executed agreement.
